1. Acceptance of Terms

By accessing or using AILowDom's services, you agree to these Terms and our Privacy Policy. If you are using our services on behalf of a brokerage, team, or other organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

AILowDom provides an AI-powered platform that enables real estate professionals to:

• Enhance listing photographs (lighting, color, sky replacement, clutter removal).
• Generate listing photos from supplied inputs.
• Virtually stage vacant rooms and produce virtual twilight versions of exteriors.
• Visualize virtual renovations of kitchens, bathrooms, and other spaces.
• Produce AI-generated listing videos and multiple listing variants, typically delivered within 24–48 hours.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Account Registration

To use our services, you must create an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain and update your information as needed.
• Keep your password secure and confidential.
• Be responsible for all activities under your account.
• Notify us immediately of any unauthorized access.

You must be at least 18 years old to create an account and use our services.

4. Orders and Payment

4.1 Pricing and Billing

Our services are offered as one-time orders and, where applicable, recurring plans. By placing an order or subscribing, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as expressly stated in these Terms or required by law.

4.2 Automatic Renewal

Recurring plans automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for renewal fees.

4.3 Price Changes

We may change our prices at any time. Price changes for existing plans will take effect at the start of the next billing period following notice to you.

4.4 Order Scope

Each order specifies a defined scope (for example, a number of photos or a video of a specified length). Work outside that scope may require an additional order. Turnaround estimates (such as 24–48 hours) are targets, not guarantees, and may vary with order complexity.

5. Your Content

5.1 Content You Provide

You retain ownership of any content you upload to our platform ("Your Content"), including listing photos, floor plans, property descriptions, and brand assets. By uploading content, you grant us a limited license to use it for the purpose of providing our services.

5.2 Responsibility for Your Content

You are solely responsible for Your Content and represent that:

• You own or have the rights and permissions to use all content you upload, including any required permission from the property owner, photographer, or listing agent.
• Your Content does not infringe any third-party rights.
• Your Content complies with all applicable laws, MLS rules, and real estate regulations.
• Your Content does not contain malicious code or harmful material.

5.3 Content Restrictions

You may not upload or request the creation of content that:

• Is illegal, harmful, threatening, abusive, or harassing.
• Promotes violence, discrimination, or hate speech.
• Contains sexually explicit or pornographic material.
• Infringes intellectual property rights of others.
• Contains false or misleading claims about a property, its features, condition, or location.
• Impersonates any person or misrepresents your affiliation with a property or brokerage.
• Contains malware, viruses, or harmful code.

6. AI-Generated Content

6.1 Ownership of Generated Content

Subject to your compliance with these Terms and payment of applicable fees, you own the rights to content generated through our platform using Your Content and inputs ("Generated Content"). You may use Generated Content for marketing the listing it was produced for, including MLS, social media, and print materials.

6.2 License to AILowDom

You grant AILowDom a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and analyze Your Content and Generated Content for the purposes of:

• Providing and improving our services.
• Training and enhancing our AI models.
• Developing new features and capabilities.
• Ensuring compliance with these Terms.

6.3 AI Limitations

You acknowledge that AI-generated content:

• May not always be accurate, appropriate, or error-free.
• Should be reviewed before publication on the MLS or in marketing materials.
• May occasionally produce unexpected or unintended results.
• Is subject to the capabilities and limitations of current AI technology.

You are responsible for reviewing and approving all Generated Content before use.

6.4 Disclosure of Virtual Staging and Renovation

Virtually staged, virtually renovated, virtual twilight, and similarly altered images must be disclosed in accordance with your local real estate regulations, MLS rules, and professional standards. You are solely responsible for making any required disclosures.

7. Intellectual Property

7.1 Our Intellectual Property

AILowDom and its licensors own all rights to the platform, including software, designs, trademarks, and AI models. Nothing in these Terms grants you rights to our intellectual property except as expressly stated.

7.2 Feedback

If you provide feedback or suggestions about our services, you grant us the right to use such feedback without restriction or compensation.

8. Acceptable Use

You agree not to:

• Use our services for any illegal purpose.
• Attempt to gain unauthorized access to our systems.
• Interfere with or disrupt our services.
• Reverse engineer or attempt to extract our AI models.
• Use automated means to access our services without permission.
• Circumvent usage limits or access restrictions.
• Resell or redistribute our services without authorization.
• Use our services to create content for competing AI platforms.
• Generate content that could harm AILowDom's reputation.

9. Third-Party Services

Our platform may integrate with third-party services, including payment processors, cloud providers, and MLS or listing-distribution tools. Your use of third-party services is subject to their respective terms and policies. We are not responsible for third-party services.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted, secure, or error-free.
• AI-generated content will meet your specific requirements.
• Results from our services will be accurate or reliable.
• Any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AILOWDOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AILowDom, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services.
• Your Content or Generated Content.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Your listing and marketing activities using our services.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason with or without notice. Upon termination:

• Your right to access our services will cease immediately.
• You remain liable for any outstanding fees.
• We may delete your account data after a reasonable period.
• Provisions that should survive termination will remain in effect.

You may terminate your account at any time by contacting us or through your account settings.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AILowDom.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights freely.
• No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship.
